1. Definitions

• "Platform" refers to the Inditap website (www.inditap.in), mobile applications, and all related services
• "Services" refers to digital business card creation, hosting, NFC card manufacturing, analytics, and related features
• "User", "You", "Your" refers to any individual or entity using our Platform
• "Digital Card" refers to the online business card hosted on our Platform
• "Physical Card" refers to NFC-enabled or premium printed business cards
• "Subscription" refers to paid plans for card services
• "Content" refers to text, images, logos, information uploaded by you to your card

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years of age to use our Services. By registering, you represent and warrant that you meet this age requirement.

2.2 Account Creation

To use certain features, you must create an account by providing:

• Accurate and complete personal information
• Valid email address and phone number
• Secure password
• Business information (if applicable)

2.3 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate and up-to-date

2.4 One Account Per Person/Business

You may only create one account per email address. Multiple accounts for the same entity may be suspended.

3. Services Offered

3.1 Digital Profile Card

• Online digital business card accessible via unique URL
• Contact information, social links, bio, photo
• Shareable via QR code, link, or NFC
• Basic analytics (views, clicks)
• Price: ₹199 for first year, ₹99 annual renewal

3.2 NFC Business Card

• All Digital Profile features
• Physical NFC-enabled card for tap-to-share
• Custom card design and printing
• Delivery across India
• Price: ₹399 for first year (includes card), ₹99 annual renewal

3.3 Premium Card

• All NFC Card features
• Premium materials and finishes
• Enhanced customization options
• Priority support
• Price: ₹799 for first year (includes card), ₹99 annual renewal

3.4 Additional Services

• Custom domain mapping (if available)
• Advanced analytics
• Bulk orders for organizations
• White-label solutions (enterprise)

4. Payment Terms

4.1 Pricing

All prices are listed in Indian Rupees (₹) and include applicable GST. Prices are subject to change with 30 days' notice.

4.2 Payment Methods

We accept payments through:

• Credit/Debit Cards (Visa, Mastercard, RuPay)
• UPI (PhonePe, Google Pay, Paytm, etc.)
• Net Banking
• Digital Wallets

All payments are processed securely through our authorized payment gateway partners.

4.3 Payment Processing

• Payment must be completed before service activation
• You will receive a GST-compliant invoice via email
• Failed transactions will be automatically refunded within 5-7 business days
• We do not store your complete payment card details

4.4 Subscription and Renewals

• Subscriptions are billed annually
• You will receive renewal reminders 30 days and 7 days before expiry
• Renewals are not automatic - you must manually renew
• Expired cards will become inactive after a 7-day grace period
• Renewal price: ₹99 per year for all card types

4.5 Taxes

All prices include GST at applicable rates. GST details will be shown on your invoice.

5. Delivery and Fulfillment

5.1 Digital Cards

• Activation Time: Within 24 hours of payment confirmation
• Access: Credentials sent via email
• URL: Your unique card URL (e.g., inditap.in/c/your-name)

5.2 Physical Cards (NFC/Premium)

• Production Time: 3-5 business days after design approval
• Delivery Time: 5-7 business days for metro cities, 7-10 days for other locations
• Shipping: Tracked courier delivery across India
• Courier Partners: Professional, reliable courier services

5.3 Service Area

We currently deliver physical cards across all of India. Digital cards are accessible worldwide.

5.4 Delivery Delays

While we strive for timely delivery, we are not responsible for delays caused by:

• Incorrect address provided by customer
• Courier service delays beyond our control
• Natural disasters, strikes, or force majeure events
• Government restrictions or customs (if applicable)

6. User Content and Intellectual Property

6.1 Your Content

You retain full ownership of all content you upload to your digital card, including:

• Photos, logos, and images
• Text, bio, tagline
• Business information
• Links and social media profiles

6.2 License to Us

By uploading content, you grant us a limited, non-exclusive, worldwide license to:

• Host and display your content on your digital card
• Generate QR codes and sharing materials
• Process and optimize content for platform functionality
• Create backups for service reliability

6.3 Content Responsibility

You represent and warrant that:

• You own or have rights to all content you upload
• Your content does not infringe third-party rights
• Your content complies with applicable laws
• You have permission to use any trademarks or logos

6.4 Our Intellectual Property

The Inditap platform, including design, code, features, and branding, is owned by INDIGREENPRINTSOLUTIONS PRIVATE LIMITED. You may not:

• Copy, modify, or reverse engineer our platform
• Use our trademarks without permission
• Create derivative works from our services
• Remove copyright or proprietary notices

7. Prohibited Uses

You agree NOT to use our Services to:

7.1 Illegal Activities

• Engage in any illegal, fraudulent, or deceptive practices
• Violate any Indian or international laws
• Promote illegal products or services
• Facilitate money laundering or terrorism financing

7.2 Harmful Content

• Upload offensive, defamatory, or hateful content
• Promote violence, discrimination, or harassment
• Share pornographic or sexually explicit material
• Post content that infringes others' rights

7.3 Platform Abuse

• Create fake or misleading business cards
• Impersonate another person or entity
• Spam, phish, or send unsolicited communications
• Distribute malware or malicious code
• Attempt to hack or disrupt the platform
• Scrape or collect user data without permission

7.4 Commercial Misuse

• Resell our services without authorization
• Use for pyramid schemes or MLM scams
• Promote counterfeit goods
• Engage in fraudulent business practices

8. Service Modifications and Termination

8.1 Right to Modify

We reserve the right to:

• Modify or discontinue features with notice
• Update pricing with 30 days' advance notice
• Change platform functionality to improve service
• Add or remove third-party integrations

8.2 Account Suspension/Termination

We may suspend or terminate your account if:

• You violate these Terms of Service
• You engage in prohibited activities
• You provide false information
• Your account is involved in fraud or abuse
• Required by law or legal process

8.3 Your Right to Terminate

You may terminate your account at any time by:

• Contacting our support team at hello@inditap.in
• Requesting account deletion through customer portal

Paid subscriptions are non-refundable unless specified in our Refund Policy.

8.4 Effect of Termination

Upon termination:

• Your digital card will become inaccessible
• Your content will be deleted within 90 days
• Financial records retained for 3 years (legal requirement)
• No refunds for unused subscription period

9. Warranty and Product Guarantee

9.1 NFC Card Warranty

For physical NFC cards, we provide:

• Warranty Period: 1 month from delivery date
• Coverage: Manufacturing defects, NFC functionality issues
• Not Covered: Physical damage, water damage, normal wear and tear, misuse
• Remedy: Replacement card (one-time) if defect confirmed

9.2 Digital Card Uptime

We strive for 99% uptime but do not guarantee uninterrupted service due to:

• Scheduled maintenance (announced in advance)
• Technical issues beyond our control
• Internet service provider issues

9.3 Service "As Is"

Our services are provided "as is" and "as available" without warranties of any kind, express or implied.

10. Limitation of Liability

To the maximum extent permitted by Indian law:

10.1 No Liability For

• Lost profits or business opportunities
• Data loss (maintain your own backups)
• Indirect, incidental, or consequential damages
• Service interruptions or delays
• Third-party actions or content
• Delivery delays by courier partners

10.2 Maximum Liability

Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10.3 Essential Purpose

These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

11. Indemnification

You agree to indemnify, defend, and hold harmless INDIGREENPRINTSOLUTIONS PRIVATE LIMITED, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Violation of these Terms
• Infringement of third-party rights
• Content you upload to your card
• Your breach of any laws or regulations

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of India, including:

• Indian Contract Act, 1872
• Information Technology Act, 2000
• Consumer Protection Act, 2019
• GST Act and regulations

12.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

12.3 Dispute Resolution Process

1. Informal Resolution: Contact us at hello@inditap.in to resolve the issue amicably
2. Negotiation: We will attempt to resolve within 30 days
3. Legal Action: If unresolved, either party may pursue legal remedies

12.4 Consumer Rights

Nothing in these Terms affects your statutory rights under Indian consumer protection laws.

13. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with Indian data protection laws.

By using our Services, you consent to our privacy practices as described in the Privacy Policy.

14. Referral Program

If you participate in our referral program:

• You must comply with all applicable laws and regulations
• You may not engage in spam or unsolicited marketing
• Referral rewards are subject to our referral program terms
• We reserve the right to modify or terminate the program
• Fraudulent referrals may result in account suspension

15. Third-Party Services

15.1 Payment Processors

We use third-party payment processors (Razorpay, PhonePe, etc.). Their terms and privacy policies also apply to payment transactions.

15.2 External Links

Your digital card may contain links to third-party websites or services. We are not responsible for:

• Content or practices of third-party sites
• Availability or functionality of external links
• Products or services offered by third parties

15.3 Social Media

When you link social media accounts, those platforms' terms apply to your use of those features.

16. Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including:

• Natural disasters (earthquakes, floods, pandemics)
• War, terrorism, or civil unrest
• Government actions or regulations
• Internet or telecommunications failures
• Strikes or labor disputes
• Supplier or vendor failures

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and INDIGREENPRINTSOLUTIONS PRIVATE LIMITED regarding use of our Services.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

20. Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

21. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on this page with an updated "Last Updated" date.

For material changes, we will:

• Email notification to registered users
• Provide 30 days' notice before changes take effect
• Allow you to terminate if you disagree with changes

Your continued use after changes constitutes acceptance of the modified Terms.
